ARTICLE 1
The name of this club shall be the Baxter Field Flying Club, and be referred to in this document as the Club. The address of the Club's flying field is 11800 S. Douglas Blvd., Oklahoma City, Oklahoma and is located on the West Side of Draper Lake.
ARTICLE 2
The purpose of the Club shall be to promote radio-control model aircraft building and flying, and to aid, insofar as possible, the national program of the Academy of Model Aeronautics (AMA) and other AMA
activities-looking forward to continual advancement of modeling in all its phases in the United States of America. The Club will also foster sportsmanship and promote good fellowship among its members.
ARTICLE 3
1. Only AMA members shall be eligible for membership, and shall agree to abide by the Club's bylaws, and those of the AMA.
2. The membership shall be divided into the following categories:
a. Full Member: Is nineteen (19) years old or older and has full privileges and voting rights. Dues: Full Member rate. Additional family members in same household may join for half the rate of the Full Member and shall have full privileges and voting rights.
b. Junior Member: Is younger than nineteen (19) years old, has full privileges and voting rights. Dues: Junior Member rate.
c. Senior Member: Is sixty (60) years old or older and has full privileges and voting rights. Dues: Senior Member rate.
d. Probationary Member: A new member within the first calendar year of membership. This member is not eligible for elected office; however they may serve the Club in an appointed position. Member has full voting rights at Club meetings.
3. All members will be required to hold and maintain a license issued by the AMA. All first-time applicants, as well as present members seeking membership renewal, must show proof of membership in the AMA.
4. A Probationary Member may become a Full Member after one (1) calendar year of Probationary Membership. The Probationary Member shall be required to pay the Capitol Improvement Fee at the end of the first year in order to become a Full Member. Probationary members are ineligible to hold any elected office in the Club.
5. All current members shall pay dues according to their membership type and the time of renewal as follows:

6. All Probationary Members shall pay the first year's dues on quarterly prorated bases.
A one time Capitol Improvement Fee shall be paid at the end of the probationary period to become a full member. Only one Capitol Improvement Fee per family. The Probationary and Capitol Improvement Fee are as follows:

ARTICLE 4
1. The grievance procedure provides a mechanism to enforce existing safety rules by providing a progressive disciplinary system when needed.
Although most complaints can be resolved informally, if a complaint is serious or cannot be resolved informally, the matter should be referred to the Safety Committee for its consideration by means of a Grievance Form to be filled out and turned into the Safety Committee Chairman.
At least one witness is required to sign the Grievance Form.
2. The Safety Committee shall be the members of the Board of Directors.
The Safety Committee shall use its judgment in carrying out action on the following:
(A) A grievance form will be filled out and turned into the Safety Committee Chairman. At least one witness is required.
(B) FIRST VIOLATION
a. Viewpoints of both complainants and accused will be considered.
b. Complainant's name will be disclosed.
c. The Safety Committee will give a verbal reprimand to the accused, and this will be recorded in the Committee files.
(C) SECOND VIOLATION
a. Complainant's name will be disclosed.
b. The accused has the right to a written rebuttal, to be reviewed by the Committee.
c. If the Committee so decides, the flying privileges of the accused will be suspended for thirty (30) days. Written notice of this shall be issued and a copy published in the Club newsletter.
(D) THIRD VIOLATION
a. Committee will notify the accused in writing and the Club members via the Club newsletter that the Club will vote on the expulsion of the accused at the next meeting.
b. Said expulsion will last for a one-year minimum. (Longer if deemed necessary by the Board of Directors).
c. A member may be expelled from the Club only upon a two-thirds (2/3) majority vote of the membership present at the meeting.
d. Voting will be by secret ballot at a regular monthly meeting.
e. The expelled member may reapply for membership after the expiration of the expulsion time period.
(E) The three actions will not be enforced unless they are accumulated within a two-year period of time.
(F) Any member receiving a Grievance, who directs any retaliation action, will be subject to immediate expulsion from the Club. This is to include threats, intimidation, physical harm, intentional equipment damage, or any other action deemed to be retaliatory by the Board of Directors.
ARTICLE 5
Nominations for new officers will be taken at the regular business meeting in November.
Officers shall be elected at the regular business meeting in December by a majority vote of the membership in attendance at that meeting. Officers' term shall be for 12 continuous months January through December.
These elected officers and their duties shall be:
President - To conduct meetings, act as point of contact for the club in all outside activities (i.e. the AMA, The City, etc.) and direct the club business.
Vice President - To assist the president and assume such duties as necessary of the president, if vacated. Act as point of contact for the club in all internal activities (i.e. the Fun Flies, Field Maintenance, etc). Conducts the regular meeting in the absence of the President.
Secretary - Keep all records of the club meetings, all motions and compiles outgoing correspondence. Conducts the regular meeting in the absence of the President, and. Vice President.
Treasurer - Collect and disburse club funds. Purchases door prizes and other club related supplies. Maintains club membership rosters. Conducts the regular meeting in the absence of all other officers.
ARTICLE 6
The newly elected incoming officers may appoint a willing individual (volunteers) to each of the positions identified below:
Safety Coordinator - To provide a watchdog over the safe conduct of model operations at the flying field. This includes processing the grievance forms and following the existing grievance procedure documented in the by-laws.
Chief Instructor - Organizes and executes the training program. Maintains, and makes available, the club trainer and buddy boxes. Identifies, and organizes competent instructor pilots.
Field Marshal - The Field Marshal shall be responsible for establishing mowing crews and mowing equipment maintenance. He/She is to ensure that the field is properly maintained and recommend improvement/changes.
Contest/Event Committee Chairman - Organizes a committee of club members for establishing an annual internal Fun Fly and Contest events calendar.
Newsletter Editor - Compiles, writes, edits, and publishes the club's newsletter.
Program Chairman - Organizes and arranges special presentations to be held at monthly meetings.
ARTICLE 7
The Board of Directors shall consist of the elected officers and the members appointed in Article 6. The Board of Directors will meet as necessary to discuss the business and make recommendations for presentation to the membership. The president shall announce time and place of the Board meeting. A quorum for board meetings shall be 5 members. The Club President shall be the Chairman of the Board.
ARTICLE 8
The Board of Directors may declare a vacancy of a club office if that officer misses three consecutive meetings. Vacancies in any office shall be filled by appointment by the Board of Directors, such appointee to serve until the end of the term for which his/her predecessor was elected.
ARTICLE 9
Expenditures of any Monies over $250.00 must be approved by a simple majority vote of the Membership present at the regular business meeting.
The President may approve expenditures up to $250.00.
ARTICLE 10
1. Meeting of the general membership (a regular business meeting) will be held monthly on the first Thursday at 7:00 PM. Place of the meeting will be at the flying field or at the Draper Lake Ranger Station.
2. At any Club meeting a simple majority shall be over 50% of the members voting at the meeting.
3. The chair person of any club meeting is entitled to vote when the vote is by ballot, but not after the tellers have begun to count the ballots. The chair person may also vote in all other cases where the vote would change the result.
ARTICLE 11
1. The annual dues to be paid to the Club shall be determined by the Club officers with the approval of a simple majority vote of the Board of Directors.
Dues are nonrefundable, except under extraordinary circumstances, which will be determined by the Board of Directors on a case-by-case basis.
Dues are due on January 1 of each year.
2. No special assessment shall be levied upon the Club membership, unless it is approved by a vote of two-thirds (2/3) majority of the members present at the regular monthly meeting, and the members have been given five (5) days prior notice along with an explanation of the assessment.
ARTICLE 12
1. Any member in good standing may resign his/her membership by giving written notice to the Club.
2. If any member ceases to have the qualification necessary for membership in the AMA, his/her membership in the Club shall thereby terminate, subject to reinstatement upon restoration of eligibility.
3. This section provides for enforcement of the Safety Rules that are related to flying activities. Any other unacceptable behavior by an individual member or members, as defined by the Board of Directors, become the responsibility of the Board of Directors as stated in Article 4, Duties, Section 1 of these Bylaws. Any individual may be expelled from membership from the Club by a two-thirds (2/3) majority vote of the
Board of Directors if, in the Board of Directors determination, such individual willfully commits any act or omission which is a violation of any of the terms of these Articles of Incorporation and Bylaws, or the Rules of
the AMA, or which is detrimental to the Club, the AMA, or to model aviation.
4. Any member who is expelled from membership may be reinstated to membership only by two-thirds (2/3) majority vote of the Board of Directors.
5. The Board of Directors shall have the discretionary authority to provide for and to impose disciplinary action for such acts or omissions, which do not justify expulsion from membership.
ARTICLE 13
Projects may be undertaken to raise money. All monies collected are club property and may be dispersed only by the Treasurer at his earliest convenience.

New members will receive the following:

ARTICLE 15
These by-laws may only be amended, dropped or added to (i.e. changed) only by the following steps,
A. The proposed change (a motion) shall be put forth to the assembled membership in a regular business meeting.
B. A "second" will be called for. If one is not received the motion dies.
C. Open discussion of the motion will be held, the secretary shall record the discussion in as detailed a manner as possible.
D. When the discussion is ended the motion will be tabled.
E. The motion and discussion will be published in the subsequent club newsletter.
F. The motion will be brought back before the assembled membership in the next regular business meeting after RECEIPT of the club newsletter, making public the motion and discussion.
G. Further discussion will take place if necessary.
H. A two thirds majority vote of the then assembled membership in the regular business meeting will decide the outcome of the change to these By - Laws.
ARTICLE 16
1. The duration of this Club shall be perpetual.
ARTICLE 17
1. The Corporation may be dissolved with the approval of a two-thirds (2/3) majority vote of the total membership.
2. Upon the dissolution of the Corporation, the Board shall, after paying or making provision for the payment of all of the liabilities of the Corporation, dispose of all the assets of the Corporation exclusively for the purposes of the Corporation in such manner, to the Academy of Model Aeronautics, Inc., or to such other organization or organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1986, as amended, or to such other organization with purposes similar to the purposes of this Corporation, as the Board shall determine. Any of such assets not so disposed of shall be disposed of by the Court of Common Pleas (or similar court) of the county in which the principal office of this Corporation is then located, exclusively for such purposes and to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.
ARTICLE 18
1. The incorporation of this membership shall be a minimum of three (3) of the four (4) elected officers.
